About the role

Reckitt seeks a meticulous and forward-thinking Company Secretary Assistant to join Group Secretariat team of a FTSE 100 company operating across sixty jurisdictions. Working closely with qualified Company Secretaries to ensure the smooth and efficient running of the department; the role will provide abundant opportunity to gain experience and further develop your skills as a Chartered Secretary.
 
The provision of company secretarial advice and support within a small Secretariat team and liaising as required with the Group’s directors and senior management and other colleagues in Reckitt globally to ensure compliance with listed company requirements, stock exchange regulations, company law and company secretarial practice, corporate governance requirements and assisting on group-wide projects as appropriate.

Your responsibilities

The role will be involved in all aspects of the day-to-day life of the small Group Secretariat team including:
 
Listed company compliance:

  • Providing support to the Deputy Company Secretary / Head of Secretariat on Group Board matters and listed company compliance as required.
  • Accurate drafting and issuance of routine Stock Exchange announcements, 
  • Support on the preparation of the Annual Report and Annual General Meeting as required.

 
Company secretarial administration:

  • Preparation of annual close period and dividend payment timetables.
  • Notification of close periods to insiders.
  • Uploading of documents to the National Storage Mechanism.
  • Filtering of phone and email enquiries received by the Secretariat team and handling/forwarding as necessary.
  • Handling post and responding as appropriate to letters/invitations etc. which are received for the Chairman and other Non-executive Directors. 
  • General assistance to the team.

 

Statutory Compliance work for UK Subsidiary Companies:

  • Ensuring new subsidiary directors understand their responsibilities as directors of UK companies.
  • Preparation of minutes for UK regulatory compliance and assisting with the preparation of precedent minutes and maintaining statutory registers.
  • Preparation and web filing at Companies House.
  • Participation in the preparation and review of the UK subsidiaries’ Annual Reports and Accounts approval process.
  • Provision of assistance and advice to Group colleagues on ad hoc projects including changes to subsidiary company articles, corporate governance and statutory audits, group re-organisations, purchases of own shares etc.

The experience we're looking for

  • Part-qualified / Grad ICSA, with experience of working in the Secretariat of a UK Listed company preferred but not essential.
  • Awareness of the UK Companies Act and aspects of the UK Stock Exchange Listing Rules. 
  • Experience of web filing at Companies House, submitting announcements via RNS.
  • Proficiency in Diligent Entities.
  • Good knowledge of Word and Excel.
