About the role
Join our dynamic Secretariat team, where you'll play a key role in delivering expert company secretarial advice and support. You'll collaborate with Reckitt’s directors, senior management, and colleagues across global offices to ensure full compliance with listed company obligations, stock exchange rules, corporate governance standards, and company law. Your contributions will also extend to supporting cross-functional, group-wide initiatives as needed.
Your responsibilities
The role will be involved in all aspects of the day-to-day life of our Secretariat team including:
- Corporate governance
- Preparation of agendas, papers and minutes for subsidiary board meetings
- Support the maintenance of statutory records and ensure compliance with legal and regulatory requirements
- Preparation and filing of required documents at Companies House
- Maintenance of Group company information within Diligent Entities
- Participation in the preparation and review of the UK subsidiaries’ Annual Reports and Accounts approval process
- Assist with annual related parties’ process
- Provision of assistance and advice to Group colleagues on ad hoc projects including changes to subsidiary company articles, corporate governance and statutory audits, group re-organisations, purchases of own shares etc
- Listed compliance
- Providing support to the Deputy Company Secretary on Group Board matters and listed company compliance, as required
- Accurate drafting and issuance of Stock Exchange announcements
- Preparation of annual closed period and dividend payment timetables along with notifications of closed periods
- Uploading of documents to the National Storage Mechanism
- Assist with drafting of the Annual Report
- Responsible for managing the verification of certain parts of the Annual Report
- Support year-end reporting deliverables including related parties and director year end confirmations
- Provide varied support for the Company’s Annual General Meeting including supporting the drafting of the Notice of Meeting and ancillary documentation
- Provision of general company secretarial support to the other members of the team and the wider Group
The experience we're looking for
- Part-qualified / Grad ICSA, with experience of working in the Secretariat of a UK Listed company preferred but not essential
- Awareness of the UK Companies Act and aspects of the UK Listing Rules
- Experience of web filing at Companies House, submitting announcements via RNS preferred but not essential
- Good knowledge of Microsoft Office
